Confidentiality Agreement

acknowledge that

(“Discloser”)

will disclose his/her/its invention for a

____( YOUR APPLICATION NAME )____
(“Software Application”)

to me for evaluation and/or development and that improvements, modifications and/or additions to the Software Application (“Application”) may arise from such evaluation and/or development.

I undertake not to:

• use any confidential information relating to the Invention; or
• disclose such information to third parties,

without the Discloser’s prior written consent.

In addition, I:

• hereby assign to the Discloser all intellectual property rights that may subsist in the Application; and
• undertake to sign all documents and perform all acts that may reasonably be required by the Discloser to effect such assignment.
